TERMS OF USE

These End User License Agreement and Terms of Use (the "Terms") form a legally binding agreement between you and Augmy s.r.o. ("Augmy", "we", "us", or "our") governing your access to and use of the Augmy mobile application ("App"), website ("Website"), and any related features, content, tools, and services (collectively, the "Service").

By downloading, installing, accessing, creating an account for, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

If you are using the Service on behalf of another person or entity, you represent and warrant that you have authority to accept these Terms on their behalf.

All references to "you" or "your" in these Terms, as applicable, mean the person who accesses, uses and/or participates in the Services in any manner.

The Services are intended for users who are at least 13 years of age, or the minimum age required to consent to the processing of personal data under applicable law in their jurisdiction. Users who have not reached the age of legal majority in their jurisdiction (generally under 18 years of age) may use the Services only with the permission and under the supervision of a parent or legal guardian. If you are under the age of legal majority in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Services to the extent permitted by applicable law.

These Terms should be read together with the Augmy Privacy Policy, which explains how we collect, use, process, and protect personal data in connection with the Service.

We recommend that you print a copy of these Legal Terms for your records.

1. DESCRIPTION OF THE SERVICE

Augmy provides a digital platform designed to help users communicate, reflect on personal experiences, and explore emotional patterns through recorded inputs and automated insights.

Through the Service, users may create accounts and interact with selected contacts by sharing messages, voice recordings, mood updates, and journal entries. The Service may also allow users to record and review personal observations related to mood, behavior, or daily experiences.

Certain features of the Service may analyze user-provided inputs and device-generated signals to generate automated insights about emotional patterns or activity trends. Such processing may include analysis of text entries, voice recordings, biometric or behavioral signals, contextual signals, and other interactions with the Service.

Some analysis may be performed using automated systems, artificial intelligence technologies, or machine learning models operated by Augmy or trusted third-party processing providers.

Additional information about how user data is processed, stored, and protected is described in the Augmy Privacy Policy.

The Service may evolve over time. Augmy may modify, update, expand, or discontinue features of the Service at its discretion, including introducing new tools, experimental features, or additional capabilities related to mood insights and communication between users.

Augmy may modify, suspend, or discontinue the Service, in whole or in part, at any time without prior notice.

2. ELIGIBILITY AND USER ACCOUNTS

The Services are intended for users who are at least 13 years of age, or the minimum age required to consent to the processing of personal data under applicable law in their jurisdiction.

Users who have not reached the age of legal majority in their jurisdiction (generally under 18 years of age) may use the Services only with the permission and under the supervision of a parent or legal guardian.

If you are under the age of legal majority in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Services to the extent permitted by applicable law.

To access certain features of the Service, you may be required to create an account. When creating an account, you agree to provide accurate, complete, and up-to-date information and to keep such information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Augmy immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used in a manner that may harm the Service or other users.

3. USER CONTENT

The Service may allow you to create, upload, record, store, or share content, including messages, journal entries, voice recordings, mood entries, and other materials ("User Content" ).

You retain ownership of any intellectual property rights that you hold in your User Content. However, by submitting, recording, or sharing User Content through the Service, you grant Augmy a limited, non-exclusive, worldwide, royalty-free license to process, store, transmit, and analyze such User Content solely for the purpose of operating, maintaining, improving, and providing the Service and its features.

This license includes the ability for Augmy to use automated systems, artificial intelligence technologies, and machine learning models to analyze User Content to generate insights or provide features of the Service.

You are solely responsible for the User Content you create, upload, or share through the Service. You represent and warrant that you have all necessary rights to submit such content and that your User Content does not violate any applicable law or the rights of any third party.

You also acknowledge that when you choose to share User Content with other users or contacts through the Service, those users may access and interact with that content as permitted by the Service’s functionality.

Augmy does not claim ownership of User Content and does not actively monitor or control all content shared between users. However, Augmy reserves the right to remove or restrict access to User Content that violates these Terms or applicable law.

If User Content is reported by users as violating these Terms or applicable law, Augmy may review such content to investigate the report and determine appropriate action, which may include removing the content, restricting access to it, or suspending the accounts involved.

4. MOOD ANALYSIS AND AUTOMATED PROCESSING

Certain features of the Service may generate insights or observations about emotional patterns, mood trends, or behavioral signals based on information provided through user interactions with the Service.

Such processing may involve automated systems, artificial intelligence technologies, or machine learning models that analyze various inputs, which may include text entries, voice recordings, biometric signals, behavioral data, contextual signals, device activity, or other interactions with the Service.

The use of these features is entirely optional and based on your choice. You may enable, disable or not use such features at any time through the Service or your device settings.

Where these features are enabled, data may be processed locally on your device wherever possible, or processed transiently and not retained after processing is completed. Where data is retained, it is limited to what is necessary for the proper functioning of the Service and is stored only for a limited period or in non-identifiable or aggregated form.

We do not sell and will never sell any data used in connection with these features.

This processing is necessary for the proper functioning of certain features of the Service and to generate insights that support the intended use of the Service.

These automated insights are intended to provide general informational output about user activity or patterns. These are used to enable the functionality of the Service. They are not intended to diagnose, treat, cure, or prevent any medical, psychological, or mental health condition.

Augmy does not provide medical services, psychological counseling, or therapeutic advice. Any insights, feedback, or interpretations generated by the Service should not be considered medical, psychological, or professional advice. Users should consult qualified professionals for medical or mental health concerns.

Automated systems and analytical models may not always produce accurate or complete results. By using the Service, you acknowledge that insights generated through automated analysis may be imperfect and should be interpreted with caution and should not be relied upon as the sole basis for any decisions.

The Service is not intended for crisis support or emergency response. Augmy does not monitor user activity for emergency situations and is not responsible for responding to such events. If you are experiencing a medical or mental health emergency, you should contact emergency services or a qualified professional immediately. You agree not to rely solely on automated insights or outputs from the Service when making personal, medical, or other important decisions.

Augmy is not responsible for any decisions made based on insights or outputs provided by the Service. You agree that you use any insights or outputs at your own discretion and risk.

5. SENSOR, BEHAVIORAL, AND CONTEXTUAL SIGNALS

Certain features of the Service may rely on signals derived from user interaction with the Service or from device capabilities to support automated insights and other functionality.

These signals may include behavioral activity patterns, contextual information, device usage indicators, biometric or sensor-derived inputs, or other signals generated through interaction with the Service or connected device features.

Such signals may be processed by Augmy's systems to support features such as mood insights, activity pattern analysis, or other analytical capabilities available within the Service.

Augmy may also use aggregated or anonymized signals derived from user interactions with the Service to improve system performance, develop new features, and train or refine analytical models used within the Service.

6. SHARING WITH CONTACTS

The Service may allow you to share certain User Content, including messages, voice recordings, mood updates, or other information, with contacts or other users that you choose to connect with through the Service. By default, User Content is private and is not visible to other users.

Certain features of the Service may allow you to share User Content with other users or selected recipients. When you choose to use such features, your User Content will be accessible only to the recipients or users you explicitly choose to share it with.

You acknowledge that once User Content is shared with other users, those users may retain access to that content in accordance with the Service’s features, and Augmy cannot fully control how recipients may further interact with or retain such information.

User Content is not made visible to other users or outside of the Service unless you explicitly choose to share it through the available functionality.

You are solely responsible for the User Content you create, share, or transmit through the Service. You agree not to upload, share, or transmit any content that:

Augmy does not actively monitor or review User Content, but reserves the right to remove or restrict conntent or users who violate these Terms. Augmy is not responsible for how other users access, use, store, or share any content once it has been shared with them through the Service.

7. PAYMENTS, SUBSCRIPTIONS, AND FREE TRIALS

Certain features of the Service may require payment, including one-time purchases, recurring subscriptions, or access to additional features or usage limits.

Subscriptions may be offered on a recurring basis and may automatically renew at the end of each billing period unless cancelled by the user before the renewal date. The applicable billing cycle and pricing will be presented to you at the time of purchase.

From time to time, Augmy may offer free trial periods, including trials lasting up to fourteen (14) days or other promotional trial durations. After the end of the free trial, your access will revert to the basic plan unless you choose to subscribe to a paid plan.

Payments for subscriptions or purchases made through mobile applications may be processed through the applicable platform provider, such as Apple App Store or Google Play. In such cases, payment processing, billing, and subscription management may be subject to the terms and policies of the respective platform provider.

You are responsible for managing and cancelling your subscriptions through the platform through which the purchase was made. Refunds, if any, are subject to the policies of the applicable platform provider and any applicable consumer protection laws.

Augmy reserves the right to modify pricing, subscription plans, or available features of the Service. Changes will apply prospectively and will not affect purchases already completed unless otherwise required by applicable law.

If a material change to the Service significantly reduces the functionality of a paid subscription, users may have the right to cancel their subscription and may be eligible for a refund or other remedy to the extent required by applicable law or the policies of the relevant platform provider.

8. LICENSE GRANT

The Service and any software made available through the Service (the "Software") are licensed, not sold.

Subject to your compliance with these Terms, Augmy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Software for your personal, non-commercial use on compatible devices that you own or control.

This license permits you to download, install, and use the mobile application and access the Service solely for its intended purposes. The rights granted to you under these Terms are conditioned upon your continued compliance with these Terms and any applicable platform rules.

Except for the limited license granted in these Terms, Augmy retains all rights, title, and interest in and to the Service, the Software, and all related intellectual property. Nothing in these Terms transfers any ownership rights to you.

Your use of the Service may also be subject to additional terms imposed by the platform from which you downloaded the application, including the Apple App Store or Google Play Store, where applicable.

9. RESTRICTIONS OF USE

Except as expressly permitted by these Terms, you may not:

Any attempt to use the Service or Software in violation of these restrictions may result in suspension or termination of your access to the Service and may also expose you to legal liability.

10. INTELLECTUAL PROPERTY

The Service, the Software, and all related technology, content, designs, interfaces, models, algorithms, and materials provided through the Service are owned by or licensed to Augmy and are protected by applicable intellectual property laws, including copyright, trademark, and other proprietary rights.

Except for the limited license granted under these Terms, no rights or ownership in the Service, Software, or any related intellectual property are transferred to you. All rights not expressly granted are reserved by Augmy.

The Augmy name, logo, and any related product or service names, trademarks, or branding elements are the property of Augmy or its licensors. You may not use, reproduce, or display these trademarks without prior written permission from Augmy.

You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or associated with the Service or Software.

If you provide Augmy with any suggestions, ideas, or feedback regarding the Service, you grant Augmy a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without any obligation or compensation to you.

11. THIRD-PARTY SERVICES

The Service may integrate with or rely on third-party services, platforms, or providers to provide certain features or functionality. These third-party services may include authentication providers, application distribution platforms, analytics tools, artificial intelligence processing services, hosting and infrastructure providers, payment and subscription services, or other external technologies (such as, for example, OVHcloud, Amazon Web Services, RevenueCat, Apple App Store, Google Play, Namescheap, Matrix protocol, audEERING, Firebase or similar providers).

If you do not agree to the applicable terms of any third-party services, you should not use the corresponding features of the Service.

Your use of such third-party services may be subject to the terms and policies of the respective third-party providers. Augmy does not control and is not responsible for the availability, security, or performance of third-party services.

Augmy makes no warranties regarding third-party services and shall not be liable for any interruption, failure, or damage resulting from the use of or reliance on such services.

Where the Service is accessed through a mobile application distributed via the Apple App Store or Google Play Store, additional platform terms may apply to your use of the application.

If you access the Service through an application distributed via the Apple App Store, you acknowledge that:

12. ACCEPTABLE USE

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You are responsible for your use of the Service and for any User Content you create, share, or transmit.

You agree that you will not:

Augmy reserves the right to investigate, suspend, restrict, or terminate access to the Service if you violate these Terms or engage in behavior that may harm the Service, its users, or third parties.

We may also remove or restrict access to User Content that violates these Terms or applicable law. You agree not to rely on the Service for any purpose that could result in harm if the Service fails or provides inaccurate outputs.

13. DISCLAIMER OF WARRANTIES

The Service and Software are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, Augmy disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Augmy does not warrant that the Service will meet your requirements, operate without interruption, be secure or error-free, or that any defects will be corrected.

Augmy makes no warranties regarding the accuracy, reliability, or completeness of any insights, analysis, or outputs generated through automated systems, artificial intelligence technologies, or analytical models used within the Service.

Your use of the Service is at your own risk.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Augmy and its directors, employees, partners, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of or inability to use the Service.

This includes, but is not limited to, damages for loss of profits, loss of data, loss of goodwill, service interruptions, device malfunction, or any other commercial or personal damages resulting from the use of the Service.

In no event shall Augmy's total liability for any claim arising out of or relating to the Service exceed the amount you paid to Augmy for the Service during the twelve (12) months preceding the event giving rise to the claim, or, if you have not made any payments, a maximum amount permitted under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such cases, Augmy's liability shall be limited to the fullest extent permitted by applicable law.

15. TERMINATION

You may stop using the Service at any time and may delete your account through the available account settings or by contacting Augmy.

Augmy reserves the right to suspend or terminate your access to the Service, in whole or in part, at its discretion if you violate these Terms, engage in unlawful activity, misuse the Service, or if continued access could harm the Service, other users, or Augmy.

Upon termination of your account or access to the Service, the license granted to you under these Terms will immediately terminate. You must cease all use of the Service and Software. Data retention and deletion practices are described in the Augmy Privacy Policy.

Termination of the Service or your account will not affect any provisions of these Terms that by their nature should survive termination, including provisions relating to intellectual property, disclaimers of warranties, limitation of liability, and governing law.

16. CHANGES TO THESE TERMS

Augmy may update or modify these Terms from time to time in order to reflect changes to the Service, legal requirements, or business practices.

When we make material changes, we will provide notice through the Service, on our website, push-notifications or email. The updated Terms will become effective on the date indicated at the beginning of the revised document unless otherwise specified.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree with the updated Terms, you must stop using the Service and may cancel your account at any time.

17. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Czech Republic, without regard to its conflict of law principles.

If you are a consumer residing in the European Union, you may also benefit from any mandatory provisions of the law of the country in which you reside.

Any disputes arising out of or in connection with these Terms or the use of the Service shall be subject to the jurisdiction of the competent courts of the Czech Republic, unless otherwise required by applicable consumer protection laws.
